Any services outside the approved scope may require additional authorization and charges.

4Client Responsibilities

To ensure successful project execution, clients agree to:

  • Ensure safe and unrestricted site access.
  • Obtain required permits, approvals, and authorizations.
  • Provide designated points of contact for communication.
  • Inform BMC of known site hazards and operational risks.
  • Cooperate with project schedules and safety requirements.

Delays caused by incomplete information or restricted site access may impact project timelines and costs.

5Health, Safety & Environmental Compliance

Safety is a fundamental value at BMC.

All activities are performed according to applicable safety regulations, risk assessments, and environmental requirements. Clients must support and comply with all site-specific HSE policies.

BMC reserves the right to suspend operations if unsafe conditions are identified that may endanger personnel, assets, or the environment.

6Equipment Rental Terms

All rented equipment remains the property of BMC unless otherwise agreed in writing.

Clients are responsible for:

  • Proper equipment operation.
  • Preventing unauthorized use.
  • Protecting equipment from damage.
  • Returning equipment in acceptable condition.

Additional fees may apply for:

  • Damaged equipment.
  • Missing components.
  • Late returns.
  • Unauthorized modifications.

7Project Scheduling & Delays

BMC will make every reasonable effort to complete projects within agreed timelines.

However, schedules may be affected by:

  • Site conditions
  • Weather events
  • Permit delays
  • Client-requested changes
  • Supply chain disruptions
  • Equipment availability
  • Force majeure events

BMC shall not be liable for delays resulting from circumstances beyond its reasonable control.

8Quotations & Pricing

All quotations are subject to the validity period specified within the proposal.

Pricing may be adjusted due to:

  • Scope changes
  • Additional work requests
  • Site condition variations
  • Regulatory requirements
  • Material or fuel cost increases

No work beyond the approved scope will proceed without client authorization.

9Payment Terms

Payment terms shall be outlined in the quotation, proposal, purchase order, or service agreement.

Clients agree to:

  • Pay invoices within the agreed period.
  • Settle outstanding balances promptly.
  • Cover applicable taxes, duties, or government fees.
Important: BMC reserves the right to suspend services for overdue accounts.

10Waste Management Services

For waste management projects, clients are responsible for accurately identifying waste types and characteristics.

BMC reserves the right to refuse handling of materials that:

  • Violate applicable regulations.
  • Present undisclosed hazards.
  • Require permits not obtained by the client.

All waste handling shall be performed according to applicable environmental regulations.

11Intellectual Property

All content on the BMC website, including text, graphics, logos, branding, and design elements, remains the intellectual property of Bahjat Al Manama Company unless otherwise stated.

Unauthorized reproduction, distribution, or modification is prohibited.

12Confidentiality

Both parties agree to maintain the confidentiality of business, technical, operational, and commercial information exchanged during the course of a project.

Confidential information shall not be disclosed to third parties without written consent unless required by law.

13Limitation of Liability

To the maximum extent permitted by law, BMC shall not be liable for:

  • Indirect damages
  • Consequential losses
  • Business interruption
  • Loss of profits
  • Loss of opportunities
  • Third-party claims
Note: BMC's total liability shall not exceed the value of services directly provided under the applicable agreement.

14Force Majeure

Neither party shall be responsible for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters
  • Government restrictions
  • Labor disputes
  • Transportation disruptions
  • Pandemics
  • Civil disturbances
  • Utility failures

Project schedules may be adjusted accordingly.

15Termination

Either party may terminate a project or service agreement by providing written notice in accordance with contractual obligations.

Upon termination:

  • Outstanding invoices remain payable.
  • Equipment must be returned immediately.
  • Confidentiality obligations remain in effect.

16Governing Law

These Terms & Conditions shall be governed by and interpreted under the laws of the Kingdom of Saudi Arabia.

Any disputes arising from these terms shall be subject to the jurisdiction of the competent courts of Saudi Arabia.
